TERMS AND CONDITIONS OF USE 

 

Welcome to TravGenius, a service operated by Street Tiger Corporation (“we,” “us,” or “our,” or “TravGenius”), a company registered in Ontario, Canada. These Terms and Conditions (the “Terms” or “Agreement”) govern your access to and use of our services, including our website (travgenius.ai), mobile applications, and associated platforms (collectively, the “Service,” or “Services”). By accessing or using our Services, you confirm that you have read, understood, and agreed to be bound by these Terms. 

These Terms are intended to ensure a safe, transparent, and fair experience for all TravGenius users. However, you are advised to read these Terms and any additional terms applicable to your use of the Services before using it. By accessing, using, or attempting to use TravGenius Services in any capacity, you acknowledge that you accept and agree to be bound by these Terms. If you do not agree, do not access TravGenius or utilize TravGenius services. These Terms expressly supersede prior agreements or arrangements with you regarding the use of the Services. 

Please do not make use of the service(s) provided by TravGenius if you object to any clause in these Terms, including the mandatory arbitration provision herein in this Agreement, or if you are not eligible to enter into an agreement with us. 

1. Changes to Terms and Services

We reserve the right to modify these Terms at any time to accommodate changes in the Service, applicable laws, or operational requirements. Modifications will be communicated via email, or other appropriate channels. Your continued use of TravGenius after any modifications constitutes your acceptance of the revised Terms. If you do not accept a change to the Terms, you must discontinue use of the Services immediately. 

2. TravGenius Account and Registration: Access and Use  

To access certain features of the Services, you must create an account. Depending on how you intend to use our Services, you will be required to provide information such as your name, email address, business name, and business address. You agree to provide accurate and complete information and keep your account details up to date at all times. 

  • Eligibility: To register for an account or use the Services, you must, and hereby, represent that you will use the Services as intended only. You also represent that you are an individual who is 18 years or older (or has otherwise reached the age of majority in the jurisdiction). 
  • Account registration and acceptance: To access certain features of the Services, you must register for an account and complete your profile with the necessary information. When creating an account, you are required to provide accurate and up-to-date details, including your full name, valid email address, and any additional information as needed. 
    During the registration process, the information you provide is utilized to create a personalized account experience. TravGenius reserves the right to decline any registration without obligation to specify reasons in compliance with applicable laws. 
  • Username, passwords, and account security: To create an account, you must choose a username and password. You are responsible for creating a strong password and maintaining the security of your login details. You are solely responsible for keeping your account, username, and password confidential, as well as all activities associated with your account. Users will also have the option to sign up and log in using Single Sign-On (SSO) options, including but not limited to Google, Apple, X, and Facebook authentication. By using SSO, you agree that TravGenius may collect and store authentication data as permitted under our Privacy Policy. You remain responsible for securing your third-party login credentials and any actions performed using your SSO authentication method.
    Do not share your login information with third parties, as you will be held responsible for all activities on your account, whether or not you are aware of them. You must notify us immediately of any unauthorized account use or security breaches. Additionally, ensure you log out after each session. You represent and warrant that your account information will always be accurate. If any information is found to be false, incomplete, or violates these Terms, we may suspend, terminate, or block your access to the Service.
    We are not responsible for any loss or damage resulting from your failure to comply with these requirements or unauthorized account use before you notify us. 

 3. Intellectual Property Rights, License, and Restrictions

Intellectual property rights: This Service is owned, controlled, and operated by Street Tiger Corporation, and all material on this Service, including but not limited to software, images, illustrations, text, scripts, graphics, audio clips, video clips, and other interactive features made available to you on the Service, logos, trademarks, and service marks contained herein, are owned by TravGenius. Other service marks, logos, and names on this Service are the property of their respective owners.  

Any use of the Service or the contents made available to you on the Service other than as specifically authorized herein without our prior written permission is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws, including, without limitation, copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these Terms shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication, or otherwise. This license is revocable by TravGenius at any time without notice and with or without cause. 

Without the prior written consent of the owner, modification of the materials, use of the materials on any other website or networked computer environment, or use of the materials for any purpose other than personal, non-commercial use is a violation of the copyrights, trademarks, and other proprietary rights, and is prohibited. Any use for which you receive any remuneration, whether in money or otherwise, is a commercial use for the purposes of this clause. 

License and restrictions: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the Services subject to the Terms of this Agreement. Any rights not expressly granted herein are reserved by us. 

You may not: (i) remove any copyright, trademark, or other proprietary notices from any portion of the Services; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services except as expressly permitted by us; (iii) decompile, reverse engineer or disassemble the Services except as may be permitted by applicable law; (iv) link to, mirror or frame any portion of the Services; or (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services. 

4. Fees, Payment, Payment Terms, and Refund Policy

TravGenius may offer certain features or services that require payment (“Paid Services”), which are available for purchase through the TravGenius service. If you choose to make a purchase, you acknowledge that additional terms may apply and will be disclosed at the time of purchase. By completing a transaction, you authorize TravGenius to charge your selected payment method for the applicable fees. 

You may make a purchase through one of the following payment methods (“Payment Method” ): (a) a third-party platform such as the Apple App Store or Google Play Store (“Third-Party Store”); or (b) a direct payment using a credit card, debit card, or other accepted payment methods, which will be processed by a third-party payment processor. TravGenius does not store or process payment details directly. If payment is not successfully received, you agree to promptly pay all amounts due upon demand. 

Auto-Renewal and Recurring Purchases: Some features may be offered as automatically renewing purchases (“Recurring Purchases”). If you opt into a Recurring Purchase, your payment method will be charged at the end of each applicable period unless you cancel. Users will be notified of any changes to pricing and given the opportunity to cancel before the next renewal. To avoid charges, users must cancel their recurring purchases before the renewal date. Deleting your account or removing the application does not automatically cancel any active purchases. 

Cancelling Purchases and RefundsIf you made a purchase directly through TravGenius, you may manage or cancel your purchases via the payment settings under your profile. If your purchase was made through a Third-Party Store, you must manage your payment settings directly through that platform (such as Apple App Store or Google Play Store). Canceling a purchase will allow continued access to Paid Services until the end of the current period, but no refunds or prorated amounts will be provided. 

Canceling a purchase does not automatically remove your account from TravGenius. If you wish to delete your account permanently, you must do so through the account settings. 

Generally, all purchases are final and nonrefundable, and there are no refunds or credits for partially used periods, except if the laws applicable in your jurisdiction provide for refunds. 

Taxes: Any applicable taxes on Paid Services, including sales tax, may be added at checkout. If TravGenius determines that a tax obligation exists, the applicable tax will be collected in addition to the purchase amount. Users are responsible for any taxes that were not collected at the time of payment.  

5. Content Ownership and Rights  

Your Content 

Some features of our service allow you to create, upload, post, send, receive, and store content. When you create and upload content to TravGenius, including but not limited to text, images, documents, videos, profile information, or other materials (“Your Content”), you retain ownership of it. However, by submitting Your Content, you grant TravGenius a perpetual, worldwide, transferable, sub-licensable, royalty-free right and license to use, copy, modify, distribute, publicly display, and process Your Content in connection with the Services. This includes, but is not limited to, improving TravGenius’s services, and promoting the Services through marketing and advertising efforts. 

By sharing Your Content on TravGenius, you represent and warrant that you have the necessary rights, licenses, or permissions to grant TravGenius the above-stated license. You also represent that Your Content does not infringe on any third-party rights, including intellectual property, privacy, or publicity rights, and complies with TravGenius’s acceptable use and does not contain prohibited material such as explicit, defamatory, illegal, or harmful content. 

TravGenius reserves the right, but is not obligated, to review, edit, remove, or restrict access to any content that violates these Terms or applicable laws. 

TravGenius’s Content 

All trademarks, logos, graphics, interface elements, and original materials created by or on behalf of TravGenius (“TravGenius Content”) remain the exclusive property of TravGenius and its licensors. You may not use, copy, distribute, or modify TravGenius Content without our prior written consent. Unauthorized reproduction or use of TravGenius Content for commercial purposes is a violation of these Terms and may result in legal action. 

6. User Conduct, Representation, and Acceptable Use

You hereby represent, warrant, and agree that no materials of any kind submitted through your account or otherwise uploaded, posted, or shared by you through the service will be in violation of the rights of any third party, including but not limited to the copyright, trademark, publicity, privacy or other personal or proprietary rights. 

Although we are committed to providing a safe user experience, we do not guarantee that the Service, or any content in it, will be safe, error-free, or uninterrupted or that it will be free from bugs or viruses. From time to time, access to the service may be interrupted, suspended, or restricted, including because of a fault, error, unforeseen circumstances, or scheduled maintenance. We shall not be liable to you for any loss or damage that you may suffer as a result of the service being unavailable or inaccurate at any time for any reason. 

You agree, undertake, and confirm that your use of the service shall be strictly in accordance with applicable laws and the following binding guidelines: 

A. You shall not host, display, upload, modify, publish, transmit, update, or share any information which: 

  • belongs to another person and to which you do not have any right to make use of or promote an illegal or unauthorized copy of another person’s copyrighted work such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices; 
  • is grossly harmful, harassing, defamatory, obscene, pornographic, paedophilic, libelous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; or, 
  • is patently offensive to the online community, such as sexually explicit content, or content that promotes obscenity, pedophilia, racism, bigotry, hatred, or physical harm of any kind against any group or individual or provides material that exploits people in a sexual, violent or otherwise inappropriate manner or solicits personal information from anyone; 
  • Involves the transmission of “junk mail,” “chain letters,” or unsolicited mass mailing or “spamming” or contains any trojan horses, worms, time bombs, cancelbots, easter eggs, or other computer programming routines that may damage, detrimentally interfere with, diminish the value of, surreptitiously intercept or expropriate any system, data or personal information; 
  • promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory, or libelous; 
  • Provides instructional information about illegal activities such as making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses; contains video, photographs, or images of another person (with a minor or an adult); 
  • tries to gain unauthorized access or exceeds the scope of authorized access to the service or to profiles, blogs, communities, account information, bulletins, or other areas of the service or solicits passwords or personal identifying information for commercial or unlawful purposes from other users. 
  • Solicits gambling or engages in any gambling activity which we, in our sole discretion, believe is or could be construed as being illegal; 
  • Interferes with another user’s use and enjoyment of the website or any other individual’s user and enjoyment of similar services; 
  • Refers to any website or URL that, in our sole discretion, contains material that is inappropriate for the website or any other website, contains content that would be prohibited or violates the letter or spirit of these Terms. 
  • Any content which we, in our sole discretion, deem inappropriate for the Service. 

B. You shall not use any “deep-link,” “page-scrape,” “robot,” “spider,” or other automatic devices, program, algorithm, or methodology, or any similar or equivalent manual process to access, acquire, copy or monitor any portion of the Website or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Website or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the service. We reserve the right to bar any such activity. 

C. You shall not attempt to gain unauthorized access to any portion or feature of the service, or any other systems or networks connected to the service or to any server, computer, network, or to any of the services offered on or through the service, by hacking, password “mining” or any other illegitimate means. 

It is possible that those other users (including unauthorized users or “hackers”) may post or transmit offensive or obscene materials on the services, and you may be involuntarily exposed to such offensive and obscene materials. It is also possible for others to obtain personal information about You due to your use of the services, and the recipient may use such information to harass or injure You. We do not approve of such unauthorized uses, but by using the Website, You acknowledge and agree that We are not responsible for the use of any personal information that You publicly disclose or share to the Service or publicly on the Service. Please carefully select the type of information that you publicly disclose or share with others about the service. 

7. Copyright Infringement and Notice Procedures

TravGenius respects the intellectual property of others and asks its users of the service to do the same. TravGenius Services may not be used to transmit, retransmit, distribute, post, or store any material that violates any rights of any person, including rights protected by copyright, trade secret, patent, or other intellectual property or similar laws or regulations. 

TravGenius adheres to both Canada’s Notice-and-Notice System under the Copyright Act of Canada and the Digital Millennium Copyright Act (DMCA) for U.S.-based copyright claims. 

If you believe that content available on TravGenius infringes your copyright, you may submit a Notice of Claimed Infringement under the Notice-and-Notice system or a DMCA Takedown Notice under the Digital Millennium Act (DMCA). This notice must be sent to dmca@travgenius.ai and include the following information: 

  • Identification of the copyrighted work you claim has been infringed. 
  • The location (URL or specific section) where the infringing content appears. 
  • Your contact information, including full name, address, telephone number, and email address. 
  • A statement affirming that you have a good faith belief that the use of the material is unauthorized. 
  • A declaration that the information provided is accurate and that you are authorized to act on behalf of the copyright owner. 

Upon receiving a valid Notice-and-Notice request, TravGenius will forward the notice to the user who uploaded the content without automatically removing it unless legally required to do so. 

Upon receiving a valid DMCA Takedown Notice, TravGenius may remove or restrict access to the infringing material and may notify the user responsible for the content. 

False or Misleading Claims: Knowingly misrepresenting that material is infringing may result in liability for damages, including but not limited to court costs and attorneys’ fees. 

Similarly, knowingly misrepresenting that material was wrongfully removed under the DMCA or Canada’s Notice-and-Notice system may also result in legal consequences. 

8. Violations and Reporting Violations 

Users of the Service may receive a warning for violating these Terms or for reported misconduct. Warnings may be sent to the email address linked to the user’s account. While warnings do not restrict account activity, they may result in suspension or permanent disablement based on the severity of the violation. 

If you encounter content that may violate these Terms, report it to us immediately so we can take appropriate action. All cases are reviewed by our team, but to protect individual privacy, review outcomes may not be shared. Except as required by law, we are not obligated to act on any report. 9. Links to Third-Party Resources

The TravGenius Services and website may embed or contain links to third-party websites, information or resources. We provide these only for convenience and are not responsible for the content or services on or available from those websites, information, resources, or links displayed on such websites. You acknowledge sole responsibility for and assume all risks arising from your use of any third-party websites or resources. We make no representations or warranties as to the security of any information (including, without limitation, credit card and other personal information) that you may provide or be requested to provide to any third party, whether through such a third-party site or otherwise. 

You agree that your use of third-party sites and resources and any content, information, data, advertising, products, services, or other materials on or available through such sites and resources is at your own risk and is subject to the terms and conditions of use applicable to such sites and resources. 

TravGenius shall have the right, at any time and at its sole discretion, to block links to the TravGenius website and Services through technological or other means without prior notice. 

10. Warranty and Liability Disclaimer

THE TRAVGENIUS SERVICES AND WEBSITE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TRAVGENIUS MAKES NO REPRESENTATION OR WARRANTY AS TO THE ACCURACY, AVAILABILITY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY MATERIAL ON OR ACCESSIBLE THROUGH THE TRAVGENIUS SERVICES. ANY RELIANCE ON OR USE OF SUCH MATERIALS SHALL BE AT YOUR SOLE RISK. TRAVGENIUS MAKES NO REPRESENTATION OR WARRANTY THAT THE TRAVGENIUS WEBSITE WILL BE AVAILABLE ON A TIMELY BASIS, OR THAT ACCESS TO THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE; THAT DEFECTS OR ERRORS WILL BE CORRECTED OR THAT THE TRAVGENIUS SERVICES OR THE SERVERS OR NETWORKS THROUGH WHICH THE TRAVGENIUS SERVICES ARE MADE AVAILABLE ARE SECURE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 

While we try to maintain the integrity and security of our Services and the servers from which they are operated, our Services may include inaccuracies, errors, and materials that violate or conflict with this Agreement. Additionally, third parties may make unauthorized alterations to our Services. If you become aware of any unauthorized third-party alteration to our Services, contact us at support@travgenius.ai with a description of the material(s) at issue and the URL or location on the Services where such material(s) appear. 

11. Limitation of Liability

IN NO EVENT SHALL TRAVGENIUS, ITS SUBSIDIARIES OR AFFILIATES, OR ANY OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, OR REPRESENTATIVES (THE FOREGOING ENTITIES, COLLECTIVELY, THE “TRAVGENIUS ENTITIES”) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF (A) THIS AGREEMENT, (B) THE TRAVGENIUS SERVICES, OR (C) YOUR USE OF OR INABILITY TO USE THE TRAVGENIUS SERVICE, IN EACH EVENT, EVEN IF TRAVGENIUS OR SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  

APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE FOREGOING LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.  

TRAVGENIUS IS NOT RESPONSIBLE FOR ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR SUBMISSIONS, TRANSMISSIONS, OR DATA OR FOR ANY MATERIAL OR DATA SENT OR RECEIVED OR NOT SENT OR RECEIVED. TRAVGENIUS IS NOT RESPONSIBLE OR LIABLE FOR ANY THREATENING, DEFAMATORY, OBSCENE, OFFENSIVE OR ILLEGAL CONTENT OR CONDUCT OF ANY OTHER PARTY, OR ANY INFRINGEMENT BY A THIRD PARTY OF ANOTHER’S INTELLECTUAL PROPERTY, PRIVACY OR OTHER RIGHTS. IN NO EVENT SHALL TRAVGENIUS’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT OR OTHERWISE ARISING FROM OR RELATED TO THIS AGREEMENT, THE TRAVGENIUS SERVICE, OR YOUR USE OF OR INABILITY TO USE THE SERVICE EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR USING OR ACCESSING THE SERVICE WITHIN THE LAST SIX MONTHS. 

12. Indemnification

You will indemnify and hold the TravGenius entities harmless from and against any and all claims, actions, demands, causes of action and other proceedings arising from or related to any of the following (the “Claims” ): (a) your misuse of, inability to use, or activities in connection with our website and the services that we offer; (b) any violation of this Agreement or any other terms, conditions or policies by you or through any account you may have with our Service; (c) any transaction; (d) any allegation that any Submission or other materials that you make available through the service infringe or otherwise violate the intellectual property, privacy, or other rights of any third party; or (e) your violation of any rights of any service visitor, user, or any other third party; and you agree to reimburse the TravGenius entities on demand for any damages, losses, costs, judgments, fees, fines and other expenses they incur (including attorneys’ fees and court costs) as a result of any Claim(s). 

13. Termination and Enforcement

This Agreement is effective until terminated by TravGenius. You agree that TravGenius, at its sole discretion, may terminate your access to or use of the Services at any time and for any reason, including without limitation if we believe that you have violated or acted inconsistently with the letter or spirit of this Agreement (including but not limited to your failure to comply with the rules of conduct set forth herein this Agreement). Your right to use our services will immediately cease upon any such termination. You agree that any termination of your access to or use of our Services may be effected without prior notice and that we may immediately deactivate or delete any user name and/or password used by or provided to you and all related information and files associated therewith, and/or bar any further access to such information or files. You agree that we shall not be liable to you or any third party for any termination of your access to our Services or to any such information or files and shall not be required to make such information or files available to you after any such termination. TravGenius reserves the right to take steps that it believes are necessary or appropriate to enforce and/or verify compliance with this Agreement (including without limitation in connection with any legal process relating to your use of our services and/or a third-party claim that your use of our Services is unlawful or violates such third party’s rights). 

14. Governing Law

These Terms shall be governed by the laws of Ontario, Canada. Any disputes arising under these Terms shall be subject to binding arbitration, unless otherwise required by applicable law. Except as otherwise expressly outlined in the “Dispute Resolution; Arbitration” Section below, any legal action or proceeding arising under this Agreement shall be brought exclusively in courts located in Ontario, and the parties hereby irrevocably consent to the personal jurisdiction and venue as provided in this Agreement. 

15. Dispute Resolution; Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through binding arbitration administered by the ADR Institute of Canada (ADRIC). Arbitration shall be conducted under the ADRIC Arbitration Rules, available at ADRIC’s official website. 

A. Arbitration Procedures 

Notice of Dispute: The complaining party must send a written Notice of Dispute describing the nature of the dispute, relief sought, and supporting documentation. 

Selection of Arbitrator: A single neutral arbitrator shall be selected by mutual agreement. If parties cannot agree within 30 days, ADRIC will appoint one. 

Location and Language: Arbitration will take place in Ontario, Canada, unless both parties agree otherwise. The proceedings shall be conducted in English. 

Arbitration Fees: Each party shall bear its own legal fees and arbitration costs, except that the arbitrator may award costs to the prevailing party. 

Confidentiality: All arbitration proceedings shall be confidential.  

B. Exception – Small Claims Court 

Either party may bring an individual claim in small claims court in Ontario, provided the claim meets the applicable monetary limits. 

C. Arbitrator’s Decision 

The arbitrator will render an award within the time frame specified in the ADRIC Rules. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. The arbitrator’s award of damages must be consistent with the terms of the “Limitation of Liability” section above as to the types and amounts of damages for which a party may be held liable. The arbitrator may award declaratory or injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant’s individual claim. If you prevail in arbitration, you will be entitled to an award of attorneys’ fees and expenses to the extent provided under applicable law. 

D. No class action 

You agree, to the fullest extent permitted by applicable law, that claims may only be brought against each other in an individual capacity and not as a plaintiff or class member in any class or representative proceeding. Additionally, if the dispute is resolved through arbitration, the arbitrator may not consolidate other claims with yours or preside over any representative or class proceeding. If the prohibition on class actions or representative proceedings is deemed unenforceable, this entire Dispute Resolution section will become null and void. 

16. General Terms

Entire AgreementThese Terms constitute the entire and exclusive understanding and agreement between TravGenius and you regarding the services and content, and these Terms supersede and replace any and all prior oral or written understandings or agreements between TravGenius and you regarding the Services and Content.  

Severability: Unless otherwise stated in the Agreements, if any provision is deemed invalid or unenforceable in whole or in part, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining provisions. The affected provision will be applied to the extent permitted by law.  

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without TravGenius’s prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. TravGenius may freely assign or transfer these Terms without restriction. No Waiver: TravGenius’ failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
